New Companies Ordinance


The new Companies Ordinance (Cap. 622) which replaces the predecessor Companies Ordinance (Cap.32) will commence on the 3rd March 2014.

 

The old Companies Ordinance (Cap.32) is renamed as Companies (Winding up and Miscellaneous Provisions) Ordinance and those provisions in the old ordinance relating to prospectuses and insolvency remain unchanged.  

Four major objectives of the new ordinance are:
  • Enhancing corporate governance
  • Facilitating business
  • Ensuring better regulation
  • Modernizing Hong Kong’s company law


 The company must at least appoint one natural person as director. There is 6 months grace period.
